Scope – These terms and conditions of online sales apply to orders submitted by you either online or by telephone for purchase of items offered on the Crowood Industries online shop, and prevail over any conflicting terms that might appear on an invoice or other documentation you receive from Crowood.

Terms – Crowood, Crowood-uk, online shop and online store refers to Crowood Industries Ltd and or any of its trading styles, including but not limited to www.Crowoodindustries.com

Changes – Crowood reserves the right to change these terms and conditions at any time.

Severability – If any of these terms and conditions is held to be invalid or unenforceable, such term or condition shall be considered severable and the remaining terms and conditions shall remain in full force and effect.

Governing Law – Your purchase of any product through the online shop will be governed by the laws of England and Wales and the courts of England and Wales will have exclusive jurisdiction over any dispute arising hereunder.

Intellectual Property – Your purchase of any product through the online shop does not entitle you to use any Crowood trade mark, logo or other intellectual property belonging to Crowood

Making A Purchase Before you can make a purchase you will need to confirm your trade status and receive a valid login.

We accept all major payment methods including invoice paid by Direct Debit (subject to status), Debit / Credit Card (Secure payment managed by SagePay) and PayPal.

If you have made a mistake in your order and cannot correct it in the shopping cart, contact us and we will endeavour correct the mistake prior to shipping. Orders that have been shipped cannot be changed.

When confirmation of your order is received, this is to indicate that we have received your order. It does not indicate that a contract exists between us. We will indicate acceptance of your order, and hence a contract between us, when we send you an invoice. We have included this term to protect us in the case that a mistake has been made in pricing, we have inadvertently under-priced goods, or we are no longer able to supply a particular product for some reason. In the case of a change of price, we will always contact you first to ensure that the price is acceptable.

Shipping And Handling Prices, delivery and payment will be as specified on the online shop and are subject to Value Added Tax where applicable. Delivery is only available for addresses within the UK, which do not include the Isle of Man, the Channel Islands and BFPO addresses.

If you have an urgent or plain label requirement, please contact us to discuss.

Delivery Schedule You must inform us within two working days if the goods are lost or damaged in transit so that we can make a prompt claim against the delivery company and correct the problem. Please quote your order number in all correspondence.

You agree that proof of delivery supplied by our delivery company is sufficient evidence to establish that goods have been received.

Back Orders Crowood will make reasonable efforts to ensure that products are in stock when you place your order. Crowood reserves the right to remove items from the online store or change the selection of products available for sale online.

If your item is not in stock, we will back order for you. You will always be emailed with the option to cancel your order if you would rather not wait.

Tax Charges For orders made from the UK or the European Union, 20% VAT is added. Orders outside of the EU are VAT exempt and by prior arrangement. Made from the U.K. 20% is added, if ordering from the EU please contact us if you wish to account for VAT in your own country.

Credit Card Security When the order is placed at our website, all credit card information is managed by PayPal Business Services and are encrypted using 128 bit encryption. They are not held in clear text on any web site or by Crowood Industries Ltd

Product Warranties and After-Sales Service – For warranty and after- sales service information relating to individual products sold through the online shop, please see the warranty terms provided with the product. You can view these terms prior to making a purchase either by going to the website and locating the product you wish to order or, if that product is not listed, by contacting Customer Services on 0333 5774970 or by e-mail to sales@Crowoodindustries.com. If you are a consumer, these warranty terms do not affect your statutory rights. If you are purchasing in the course of a business, these terms replace any implied warranties of satisfactory quality and fitness for purpose and any other terms or conditions implied by statute or common law that may lawfully be excluded. If you do not accept the warranty terms applicable to a particular product, either do not purchase the product or return it to us in accordance with the Crowood returns procedure described above.

Crowood warranties do not extend to: wilful or negligent damage to goods whilst in your care; misuse or incorrect installation of goods; unauthorised modifications or repairs; parts, materials or equipment not supplied by Crowood or damage caused by such parts, materials or equipment.

Limitation of Liability – Neither Crowood nor its affiliates will be liable for any of the following losses or damages arising in connection with any item offered on the online shop and ordered by you online or by telephone: (1) loss of profits or revenue, loss of anticipated savings or loss of business, whether any of these may be direct, indirect, special, incidental or consequential loss or damage; (2) indirect, special, incidental or consequential loss or damage; (3) loss or damage resulting from events beyond the reasonable control of Crowood (including without limitation acts of god, war, civil commotion, industrial dispute or communications disruptions). The foregoing shall not exclude any liability of Crowood or its affiliates for death or personal injury resulting directly from negligence or fraudulent misrepresentation or exclude any other liability which it is unlawful to exclude (including liability which it is unlawful to exclude under the Consumer Protection Act 1987 or the Unfair Contract Terms Act 1977). This clause is made for the benefit of Crowood’s affiliates, which term shall be deemed mean any of its holding or subsidiary companies or any company which is a subsidiary of any of its holding companies, where the terms “subsidiary company” and “holding company” have the meanings set out in Section 736 of the Companies Act 1985.

Passing of Property and Risk – Title to goods you have purchased will pass to you when Crowood receives full payment for the goods. Risk of damage will pass to you upon delivery of the goods.

Until your goods have been paid for, you may not modify, pledge or sell them and you are responsible for insuring them and holding them in a manner that allows them to be identified. You authorise Crowood to enter the premises where such goods are kept in order to repossess them. If you sell goods that have not been paid for, you will become our agent and hold the proceeds of the sale on our behalf, separately from other funds.

They are also used after you have logged on as part of that process. Returns Policy You must notify Customer Services on 0333 5774970 or by e-mail to sales@Crowoodindustries.com if you receive your goods in defective condition or goods that do not correspond to your order within 7 days of receipt. Defective goods or goods that do not correspond to your order will be collected by Crowood at its expense and will be replaced or your money refunded.

Please note that Crowood Industries only deals with businesses, as such, the consumer credit act does not apply.

Crowood may but is not obliged to accept returns (except in the event of defective goods or services). In the event of Crowood agreeing to a return, all costs for shipping, administrations and other non-product related costs will still be due and the credit price adjusted accordingly.

Any goods returned should be in saleable condition, including un-opened packaging (where packaging is designed not to be re-sealed).

These terms apply to your order. We may change our terms and conditions at any time, so please do not assume that the same terms will apply in the future.

None of these terms affect your legal rights and these are not diminished in any way. If any term is held to be invalid under any applicable statute or rule of law, that term is automatically omitted from the terms to minimum extent necessary to comply with the law and without affecting the validity or enforceability of the remainder.

Remittance Terms Crowood is not responsible for any credit/debit card payments that are not accepted. Crowood reserves the right to change prices, delivery and payment options.

The successful entry of your order into the Crowood online shop website does not constitute acceptance of your order by Crowood. Crowood also reserves the right to cancel any accepted orders whether or not payment as already been received. If Crowood cancels an accepted order for which payment has been received, it will refund the appropriate account.
